1. Acceptance of Terms
By accessing and using the services provided by No Off Season LLC, you agree to be bound by these Terms of Service. If you do not agree to these terms, please refrain from using our professional consulting and workforce solutions. Your continued use of our services constitutes your legal acceptance of these terms and any future modifications.
2. Services Provided
No Off Season LLC specializes in providing workforce capacity and operational readiness for human service organizations. Our services include, but are not limited to, strategic staffing, grant management support, managed operational services, and community impact program design. Specific scopes of work will be outlined in separate service agreements or engagement letters.
3. Eligibility
To use our services, you must be a legally recognized entity or a person of legal age to form a binding contract. You represent that the information provided to No Off Season LLC during the onboarding process is accurate, complete, and current at all times. Failure to maintain accurate information may result in the termination of services.
4. Payment & Invoicing
Payment terms for our consulting and workforce solutions are established on a per-project or retainer basis as specified in your agreement. Invoices are typically issued monthly and are due within thirty (30) days of receipt unless otherwise agreed in writing. Late payments may be subject to interest charges or suspension of services.
5. Confidentiality
Both No Off Season LLC and the Client agree to maintain the confidentiality of all proprietary information shared during the course of their professional relationship. This includes business strategies, financial data, and workforce pipelines. Confidential information shall only be disclosed when required by law or with explicit written consent.
6. Intellectual Property
All methodologies, tools, and materials developed by No Off Season LLC remain the exclusive intellectual property of the company. Clients are granted a limited, non-transferable license to use deliverables specifically created for them, provided all financial obligations have been met. External reproduction of our materials without permission is prohibited.
7. Limitation of Liability
No Off Season LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use our services. While we strive for excellence in workforce solutions, we do not guarantee specific social or financial outcomes for client organizations. Total liability is limited to the amount paid for services during the preceding three months.
8. Termination
Either party may terminate a service agreement with thirty (30) days written notice. No Off Season LLC reserves the right to suspend or terminate access to services immediately if these terms are violated or if payment is significantly past due. Upon termination, the client remains responsible for all outstanding fees incurred prior to the termination date.
9. Changes to These Terms
No Off Season LLC reserves the right to modify these Terms of Service at any time. Significant changes will be communicated via our website or direct email notification to active clients. Your continued use of our services after such modifications constitutes your agreement to follow and be bound by the updated terms.
